1. Acceptance
By accessing or using terraris.ai (the "Site") or engaging Terraris GmbH's consulting services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or Services. These Terms apply to all visitors, clients, and prospective clients. TODO Harvey: confirm acceptance mechanism satisfies Swiss OR Art. 1 + GDPR consent requirements
2. Use of the Site
You may use the Site for lawful purposes only. You agree not to transmit harmful, deceptive, or unlawful content, attempt to disrupt the operation of the Site, use automated means to extract data beyond what is publicly accessible, or impersonate Terraris GmbH or its representatives.
3. Services
Terraris GmbH provides corporate AI consulting services, including but not limited to AI Opportunity Sprints, enterprise RAG architecture, AI governance frameworks, autonomous agent design, and AIOps advisory. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written agreement ("Statement of Work") signed by both parties. Nothing on this Site constitutes a binding offer to provide services.
4. Intellectual property
Terraris GmbH retains ownership of all pre-existing intellectual property, methodologies, frameworks, and tools it brings to an engagement. Client-specific deliverables developed during an engagement belong to the client as specified in the relevant Statement of Work. Terraris GmbH retains the right to apply learnings and generalised knowledge to future engagements, provided no client-confidential information is disclosed. TODO Harvey: IP clause to align with standard Swiss OR IP assignment language
5. Confidentiality
Both parties acknowledge that engagements may involve the exchange of confidential information. The confidentiality obligations applicable to any engagement are defined in the relevant Statement of Work or a separate Non-Disclosure Agreement. In the absence of a specific agreement, information shared by a prospective client during pre-sales discussions will be treated as confidential and not disclosed to third parties.
6. Limitation of liability
To the fullest extent permitted by Swiss law, Terraris GmbH's total liability for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by the client in the three months preceding the claim. Terraris GmbH shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, regardless of the theory of liability. TODO Harvey: verify liability cap enforceability under Swiss CO and EU consumer law if applicable
7. Governing law and jurisdiction
These Terms are governed by the laws of Switzerland, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Canton of Zug, Switzerland. TODO Harvey: confirm arbitration clause preference vs. court jurisdiction
8. Changes to these Terms
Terraris GmbH reserves the right to update these Terms at any time. Material changes will be communicated via the Site with a revised "Last updated" date. Continued use of the Site after such changes constitutes acceptance of the revised Terms.
